Microsoft Year 2000 Product Analyzer END-USER LICENSE AGREEMENT FOR MICROSOFT SOFTWARE IMPORTANT-READ CAREFULLY: This Microsoft End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Microsoft Corporation for the Microsoft software product identified above, which includes computer software and may include associated media, printed materials, reports, and "online" or electronic documentation ("SOFTWARE PRODUCT" or "SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not use the SOFTWARE PRODUCT. For purposes of this EULA the term "Microsoft" shall include Microsoft Corporation, its affiliates and suppliers and distributors. SOFTWARE PRODUCT LICENSE The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold. 1. GRANT OF LICENSE. This EULA grants you the following rights: Software. You may install and use the SOFTWARE PRODUCT freely within your organization solely to use the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is offered free of charge. The SOFTWARE PRODUCT should NOT be used as your exclusive means for inventorying your computers for purposes of conducting your year 2000 compliance assessment efforts. . Storage/Network Use. You may also store or install a copy of the SOFTWARE PRODUCT on a storage device, such as a network server, used only to install or run the SOFTWARE PRODUCT on up to one (1) computer over an internal network solely to evaluate the SOFTWARE PRODUCT, test its compatibility with other products and/or provide feedback to MICROSOFT. Disclosure. You may disclose the SOFTWARE PRODUCT only to your employees who have a need to know in order to accomplish the purposes identified in this Section 1, and such employees' use of the SOFTWARE PRODUCT shall take place solely at your site. You will have executed appropriate written agreements with your employees sufficient to enable it to comply with the terms of this EULA. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Separation of Components. The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer. Rental. You may not rent or lease the SOFTWARE PRODUCT. Software Transfer. You shall not transfer your rights under this EULA. Product Maintenance. MICROSOFT is not obligated to provide maintenance or updates to you for the SOFTWARE PRODUCT. However, any maintenance or updates provided by MICROSOFT shall be covered by this EULA. Term. The term of this EULA shall continue until terminated by MICROSOFT at any time, with or without cause or without notice. Upon the termination of this EULA, you shall promptly return to MICROSOFT, or certify destruction of, all full or partial copies of the SOFTWARE PRODUCT and related materials provided by MICROSOFT. With the exception of Section 1 above, the terms of this EULA shall survive termination or expiration of this EULA. 3. NO LIABILITY FOR USE OF SOFTWARE PRODUCT. ALL COMMUNICATIONS OR CONVEYANCES OF INFORMATION TO YOU CONCERNING MICROSOFT AND THE YEAR 2000, INCLUDING BUT NOT LIMITED TO THIS DOCUMENT OR ANY OTHER PAST, PRESENT OR FUTURE INFORMATION REGARDING YEAR 2000 TESTING, ASSESSMENTS, READINESS, TIME TABLES, OBJECTIVES, OR OTHER (COLLECTIVELY THE "MICROSOFT YEAR 2000 STATEMENT"), ARE PROVIDED AS A "YEAR 2000 READINESS DISCLOSURE" (AS DEFINED BY THE YEAR 2000 INFORMATION AND READINESS DISCLOSURE ACT) AND CAN BE FOUND AT MICROSOFT'S YEAR 2000 WEBSITE LOCATED AT http://microsoft.com/year2000/ (THE "Y2K WEBSITE"). EACH MICROSOFT YEAR 2000 STATEMENT IS PROVIDED PURSUANT TO THE TERMS HEREOF, THE TERMS OF THE Y2K WEBSITE, AND THE YEAR 2000 INFORMATION AND READINESS DISCLOSURE ACT FOR THE SOLE PURPOSE OF ASSISTING THE PLANNING FOR THE TRANSITION TO THE YEAR 2000. EACH MICROSOFT YEAR 2000 STATEMENT CONTAINS INFORMATION CURRENTLY AVAILABLE AND IS UPDATED REGULARLY AND SUBJECT TO CHANGE. All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by Microsoft or its suppliers. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material. You may not copy the printed materials accompanying the SOFTWARE PRODUCT. 5. GOVERNING LAW; ATTORNEYS FEES. If you acquired the SOFTWARE PRODUCT in the United States, this EULA shall be governed by the laws of the State of Washington and you further consent to jurisdiction by the state and federal courts sitting in the State of Washington. If the SOFTWARE PRODUCT was acquired outside the United States, then local law may apply 6. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable. You acknowledge that the SOFTWARE licensed hereunder is subject to the export control laws and regulations of the U.S.A., and any amendments thereof. You confirm that with respect to the SOFTWARE PRODUCT, you will not export or re-export it, directly or indirectly, either to (i) any countries that are subject to U.S.A export restrictions (currently including, but not necessarily limited to, Cuba, the Federal Republic of Yugoslavia (Serbia, Montenegro, U.N. Protected Areas, and areas of the Republic of Bosnia & Herzegovina under the control of Bosnian Serb forces), Iran, Iraq, Libya, North Korea, and Syria; (ii) any end user who you know or have reason to know will utilize them in the design, development or production of nuclear, chemical or biological weapons; or (iii) any end user who has been prohibited from participating in the U.S.A. export transactions by any federal agency of the U.S.A. government. You further acknowledge that the SOFTWARE PRODUCT may include technical data subject to export and re-export restrictions imposed by U.S.A. law. 8. NO WARRANTIES THE SOFTWARE PRODUCT IS DEEMED ACCEPTED BY YOU. MICROSOFT EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SOFTWARE PRODUCT. THE SOFTWARE PRODUCT AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. MOREOVER, MICROSOFT DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE INFORMATION CONTAINED HEREIN IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MICROSOFT OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS EULA OR THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF MICROSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU NOTWITHSTANDING ANYTHING CONTAINED IN THIS EULA, IN NO EVENT SHALL MICROSOFT BE LIABLE TO YOU FOR ANY CLAIM IN TORT, CONTRACT, EQUITY OR OTHERWISE ARISING IN CONNECTION WITH YOUR USE OF THIS SOFTWARE PRODUCT OR DEPLOYMENT OF UPDATES EXCEED IN THE AGGREGATE FIVE DOLLARS ($5.00).
