Offer to E. Salman by G. Fox R. Markowski and M. Podgorny We offer the following 1) Membership interest in WebWisdom.com not to exceed x = 13.7% of current total membership interest and status of Managing Partner if and only if two conditions are satisfied. Both conditions must be satisfied and Fox, Markowski and Podgorny will vote to decide if they are satisfied ==> He brings this fraction of additional value to the company. We have reviewed other related software companies (e.g. Centra with a valuation of $37M) and currently use estimates that the current members and managing partners bring to the table a company with a value of $10M and a revenue stream (DoD and NSF contracts) of $1.5M. These numbers could of course change. Salman must bring fraction x/(1-x) of these numbers to get membership interest fraction x. For example, this implies that Salman must add $1.59M in equity to WebWisdom.com to be a candidate for a 13.7% interest. Of course if Salman brings an investment of $y of any sort, only a fraction of this could be counted as it would come with some sort of "strings attached". Further any investment would be evaluated on several criteria (dollar value, "strings attached", consequent management enhancement, and consequent customer contacts) and be voted on by Fox, Markowski and Podgorny before acceptance. We estimate that an membership interest investment of $5M to $10M by an external investor is needed to prepare WebWisdom.com to compete in corporate market ==> Salman completes a trial period of 12 months with excellent reviews. 2) Subject to University approval, NPAC offers Salman a position with InfoMall at an approximate salary of $32K, which is either 50% time for 12 months or 100% for 6 months. This would be a general InfoMall marketing position and would not just be WebWisdom.com. The position reports to Heather Tetro and Fox. Some support funds are available but these need a plan before commitment. However 1) Salman must stop representing himself incorrectly as a managing partner or having any position in company unless such position is agreed in writing with witnessed signatures. 2) Customers and funding obtained by current members and managing partners do not count towards Salman's "additional value". This includes DoD and education community contacts and any such customers or investors obtained in the future through the quite good contacts of current team. 3) WebWisdom.com itself has at present no funds to support Salman or his efforts. 4) Salman needs to show improved abilities at planning and written and Web material preparation over the 12 month trial period. 5) Salman should not ask other NPAC staff and students to work on projects without approval from Fox.
